These terms are the agreement between you and the person named above (“we”, “us”) about Cutler (“the Software”) and the license key that unlocks it (“License Key”). By installing or using the Software you accept them.

1. What Cutler is

1.1
Cutler is a macOS application that gives an AI assistant the tools to work on video projects: reading footage and transcripts, looking at frames, proposing and making edits, and exporting a timeline (for example for Final Cut Pro) that references your original media. You can use it through an AI assistant such as Claude or ChatGPT/Codex, through an assistant built into the Cutler window, or, as an advanced option, with an API key of your own.
1.2
Cutler is not itself an AI model, and we do not provide one. The AI is supplied by a third-party provider that you choose and pay for separately (clause 4).
1.3
Paid purchases are processed by Paddle.com, our Merchant of Record, under Paddle's own checkout terms. These terms cover the Software license only.

2. License grant

2.1
Subject to your compliance with this agreement and, where applicable, payment of the license fee, we grant you a non-exclusive, non-transferable right to use the Software on any Mac that you personally own or control, for as long as your License Key remains valid.
2.2
“Non-transferable” means you may not sell, sublicense or share your License Key with another person. It does not restrict which of your own machines you use it on.

3. Ownership

3.1
We own the Software, including its source code, design and branding.
3.2
You own your footage, your transcripts and the projects and files the Software exports for you, to the extent the law and your AI provider's terms allow. Nothing in this agreement transfers any right in your content to us. We do not access, store or make any claim over your media.

4. AI assistants and providers

4.1
To use the AI features you need your own access to an AI provider: a plan or sign-in with that provider's assistant, or an API key. You provide and control that access.
4.2
Your use of any provider is governed by your agreement with that provider, not by us. You are solely responsible for its costs, usage limits, plan allowances and policy changes, and for using the Software with it in a way its terms permit.
4.3
We are not affiliated with, endorsed by or sponsored by Anthropic, OpenAI, Google, OpenRouter or any other provider. Claude, ChatGPT, Codex and other names are the trademarks of their owners and are used only to say what the Software works with.
4.4
Providers may change or withdraw how their assistants can be used with outside tools. Features that depend on a provider may change or stop working if the provider changes its service. We are not liable for a provider's availability, pricing, policies or conduct.
4.5
Transcription is performed on your own device and does not involve any provider.
4.6
Footage can contain other people's faces, voices and information. You are responsible for having the rights and, where the law requires, the consents needed to process your footage with the AI provider you choose.

5. Acceptable use

You must not: (a) reverse-engineer, decompile or attempt to extract the source code of the Software, except as permitted by law; (b) redistribute the installer or any License Key; (c) attempt to circumvent or disable license validation; or (d) use the Software to break the law or a provider's terms.

6. AI output and disclaimer

6.1
The edits, cuts, captions, descriptions and other output you get when using the Software are produced by an AI model working through the Software's tools. AI output can be wrong, incomplete or unsuitable. You are solely responsible for reviewing and approving any cut, transcript or exported project before delivering or relying on it.
6.2
Except as set out in clause 7, the Software is provided “as is”, without warranty of any kind.

7. Limitation of liability

7.1
Nothing in this agreement excludes or limits our liability where doing so would be unlawful. This includes liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; and (c) any other liability that cannot be excluded or limited under the law of your country of residence.
7.2
Subject to clause 7.1, and to the fullest extent the law allows: (a) we are not liable for loss of profits, loss of business, or any indirect or consequential loss arising from this agreement or your use of the Software; and (b) our total liability to you for any claim shall not exceed the amount you paid for the License Key giving rise to the claim in the twelve months before the claim arose, or €100 if you made no payment (for example, under a free trial).
7.3
This clause does not affect your statutory rights as a consumer, including any right under applicable law to receive software that conforms to its description and is fit for its intended purpose.

8. Term, trial, expiry and updates

8.1
A trial License Key expires 14 days after issue. A purchased License Key does not expire.
8.2
When a trial License Key expires, export functionality is disabled. All other functionality of the Software remains available; the Software is not disabled entirely by expiry.
8.3
We may revoke your right to use the Software if you materially breach clause 5. Clauses 3, 6, 7 and 9 survive termination.
8.4
We may release updates. The purchase page states how long updates are included with your license; the Software keeps working on the version you have after that period. The Software can tell you when a newer version exists; it does not install anything without your action.

9. Governing law

9.1
This agreement is governed by the laws of Portugal. Any dispute shall be subject to the exclusive jurisdiction of the courts of the judicial district covering Cascais, Portugal.
9.2
If you are a consumer, this clause does not deprive you of the protection of any mandatory provisions of the law of the country in which you are resident, and you may also bring proceedings in the courts of that country.

10. Changes and contact

We may update these terms; the date at the top shows the current version, and changes do not apply retroactively to a License Key you have already bought. Questions: support@miracontents.com.
